With the new Companies Act coming into play, the corporate landscape has changed. In terms of the new Companies Act, businesses have until 30 April 2013 to complete a new Memorandum of Incorporation (Mol) and update shareholder agreements.
This can be a daunting task for any business owner or adviser who doesn’t have a legal background. For this reason, LexisNexis engaged Cox Yeats Attorneys (winner of the 2012 PMR Golden Arrow award for top Small Law Firm in SA in the small legal firm category) to provide South African business owners and managers with practical guidance on what is required in order to comply.

Cox Yeats assigned this task to associate Keren Oliver, who rose to the challenge. Keren is from the Highway Area of Durban and went to St Mary’s DSG. She graduated with an LL.B summa cum laude, from the University of KwaZulu-Natal, Pietermaritzburg in 2006. Keren has been with Cox Yeats since 2011 and practises in the Commercial Law department.
The Practical Guide to the Companies Act, which LexisNexis has now published, is being welcomed with open arms, as it provides step-by-step practical guidance to companies and business owners, starting with decision-making diagrams as well as providing them with all the prescribed forms and templates, and walking them through the daunting steps of completing their new MOL’s which have to be completed by 30 April 2012.
The new textbook A Practical Guide to the new Companies Act is available from LexisNexis at a cost of R394.44, including vat and P&P. Call 0860 765 432 or 031 268 3521, or visit www.lexisnexis.co.za
